Terms of Service

The agreement between your business and PoPayOne for using the AI back office and, in early access, the funding marketplace pilot.

This is a working draft published for transparency during early access. It has not yet been finalized by counsel and will be versioned when it is.

1. Agreement to these terms

These Terms of Service (the “Terms”) govern access to and use of the PoPayOne platform — the web application, Gyani AI assistant, and related services (the “Service”) — provided by PoPayOne (“PoPayOne,” “we,” “us”). By creating an account, clicking to accept, or using the Service, you agree to these Terms on behalf of yourself and, if you act for a business, that business (the “Customer”). If you do not have authority to bind that business, or you do not agree, do not use the Service.

Your use of the Service is also subject to our Privacy Policy and, for business customers, the Data Processing Addendum.

2. The Service

PoPayOne is a back-office platform for staffing businesses: relationship and worker records, purchase orders and assignments, timesheets, certificates of insurance, immigration case tracking, invoicing and settlement records, and an AI assistant (“Gyani”) that helps operate these workflows. Some capabilities are gated behind configuration or early-access programs and may not be available to every account.

3. Accounts and responsibilities

You are responsible for:

  • the accuracy of the information you provide, including business-verification (KYB) details and worker records;
  • safeguarding access to your account and sign-in email inbox, and for all activity under your account;
  • ensuring the people you invite (staff, workers, vendors, insurance agencies, immigration providers) are authorized to access the data you share with them;
  • having a lawful basis to upload and process the personal data of your workers and contacts, and obtaining any consents your jurisdiction requires;
  • promptly notifying us of any unauthorized use of your account.

4. Acceptable use

You agree not to:

  • use the Service to violate any law, including employment, immigration, and anti-discrimination law;
  • upload content you have no right to process, or content that is malicious, infringing, or deceptive;
  • misrepresent your business identity during verification, or attest to authority you do not hold;
  • probe, bypass, or interfere with security or tenant-isolation controls, rate limits, or human-confirmation gates;
  • attempt to manipulate Gyani into acting outside your granted permissions (the platform is designed so this fails — attempting it is still a violation);
  • resell, scrape, or benchmark the Service for a competing product without our written consent.

We may suspend accounts that put other tenants, workers, or the platform at risk.

5. Funding marketplace — early access, simulated funds only

The PoPayOne funding marketplace is in early access and is offered as a simulation. During early access:

  • No real funds move. All advances, disbursements, repayments, insurance, and bank or insurer counterparties in the pilot are simulated;
  • PoPayOne does not provide lending, factoring, money-transmission, deposit, or insurance services today, and nothing in the Service is an offer or commitment to provide financing;
  • figures shown in funding flows (advance rates, fees, balances) are illustrative and create no payment obligation in either direction;
  • real-money operation, if and when launched, requires licensing and/or partner institutions, additional terms, and re-verification, and may not become available to every account or jurisdiction.

6. AI features and Gyani output

Gyani proposes; you dispose. Consequential actions — anything that moves (simulated) money, changes a person's status, or leaves your tenant — require explicit human confirmation, and Gyani only acts within the permissions you grant.

AI output can be wrong, incomplete, or out of date. Gyani's suggestions, summaries, and drafts are not legal, financial, tax, or immigration advice, and are not a substitute for review by a qualified professional. You are responsible for reviewing AI-assisted output before relying on it or filing it anywhere.

7. Fees

The Starter plan is free for businesses with fewer than 10 active workers. The Growth plan is $5 per active worker per month at founding-partner pricing. No seats, no setup fees. Pricing and plan boundaries may evolve as the product leaves early access; we will give existing customers reasonable advance notice of changes that affect what they pay.

8. Your data and intellectual property

As between you and PoPayOne, you own the data you and your invited users submit (“Customer Data”). You grant us the rights needed to host, process, and display it to operate the Service, as described in the Privacy Policy. Workers own the eligibility documents they upload and control sharing them, subject to compliance snapshots retained after employer verification.

PoPayOne owns the Service, its software, and its design. Feedback you send us may be used to improve the Service without obligation. Neither side acquires the other's trademarks or pre-existing IP under these Terms.

9. Term, termination, and data export

These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate access for material breach, non-payment, legal requirement, or risk to the platform, with notice where practicable.

On request at or after termination, we will provide an export of your Customer Data in a reasonable machine-readable format, and then delete it in line with the retention rules in the Privacy Policy — except records under a legal hold (for example, verified work-authorization snapshots) and records we must keep by law.

10. Disclaimer of warranties

The Service is provided “as is” and “as available,” and — to the maximum extent permitted by law — without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy of AI output, or uninterrupted or error-free operation. Early-access features, including the funding-marketplace simulation, are provided for evaluation and may change or be withdrawn.

11. Limitation of liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, or data; and (b) PoPayOne's total aggregate liability arising out of the Service is capped at the greater of $100 or the amounts you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law, including for willful misconduct or fraud.

12. Governing law

These Terms are governed by the laws of [State — pending counsel review], without regard to conflict-of-laws rules, and disputes will be resolved in the courts of that state. This placeholder will be fixed in the counsel-reviewed version of these Terms.

13. Changes to these terms

We may update these Terms as the product and the law evolve. Each version is dated and numbered at the top of this page. For material changes we will notify account owners (email or in-product) before the change takes effect; continued use after the effective date is acceptance.
